  • Use delivered software in compliance with applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual project agreements or contracts. Generally:

  • Payment schedules may include milestones or recurring payments
  • Late payments may incur additional fees as specified in the contract
  • All prices are subject to change without notice until a formal agreement is signed
  • Refunds are handled on a case-by-case basis as outlined in project agreements

5. Intellectual Property

Unless otherwise specified in a written agreement:

  • All custom software developed for you will be owned by you upon full payment
  • We retain rights to any pre-existing code, frameworks, or tools we use
  • You grant us permission to use your project (anonymously) in our portfolio
  • Open-source components used in projects remain under their respective licenses

6. Confidentiality

We are committed to maintaining the confidentiality of your business information and project details. We will:

  • Not disclose confidential information to third parties without your consent
  • Use confidential information solely for the purpose of providing our services
  • Implement reasonable security measures to protect your information
  • Return or destroy confidential materials upon project completion, if requested

7. Warranties and Disclaimers

We strive to deliver high-quality software solutions. However:

  • Software is provided "as is" unless otherwise specified in a written agreement
  • We do not guarantee that software will be error-free or uninterrupted
  • We are not liable for any indirect, incidental, or consequential damages
  • Our liability is limited to the amount paid for the specific service in question

8. Project Changes and Scope

Project scope changes may affect timeline and cost:

  • Significant changes require written approval and may result in additional charges
  • We will provide estimates for scope changes before implementation
  • Client-requested delays may extend project timelines
  • We reserve the right to decline changes that conflict with project goals

9. Termination

Either party may terminate a project agreement:

  • With written notice as specified in the project contract
  • Immediately in case of material breach of contract
  • Upon termination, payment is due for work completed up to that point
  • Confidentiality obligations continue after termination

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the total fees paid for the specific project
  • We are not liable for data loss, business interruption, or lost profits
  • You are responsible for backing up your data and systems
  • We recommend maintaining appropriate insurance coverage

11. Indemnification

You agree to indemnify and hold Infinite Road LLC harmless from any claims, damages, or expenses arising from:

  • Your use of delivered software in violation of these Terms
  • Your breach of any agreement or contract
  • Your violation of any third-party rights
  • Any content or data you provide to us

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Armenia, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Yerevan, Armenia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
